business solicitors & business lawyers & business law firms
Summerfield Browne Solicitors are authorised and regulated by the Solicitors Regulation Authority.
What sets Summerfield Browne Solicitors apart from many traditional business law firms, is that we operate a hybrid legal services model, which combines an innovative consultancy based provision of legal services, with the more traditional legal services business model.
Many of our business lawyers are consultant solicitors who work remotely from their own offices. This significantly reduces our overheads, and which in turn provides cost efficiencies which can be passed back to the client, in the form of cost effective fee rates. Our consultant business solicitors use the latest IT technology, which means that work can be undertaken quickly and efficiently.
We do have offices, but most are low cost virtual serviced offices, which provide telephone answering services. We have access to meeting rooms, but only pay for the rooms when we use them. This means that we do not incur the significant overheads of other more traditional law firms. This also means that we can pass the cost benefits back to the client.
We only appoint highly experienced business solicitors who have all held senior positions in private practice, and therefore have the expertise and knowledge in their specialist area to provide first class advice.
Our business solicitors advise on the following areas of law:
We advise on buying and selling companies, buying and selling businesses and also buying and selling shares. Where appropriate we work in conjunction with tax accountants to structure a transaction. We undertake due diligence whether making enquiries or responding to enquiries. We analyse risks in acquiring a business, and if appropriate, advise on a reduction in the purchase price. Alternatively if acting for the sellers, we try to maximise sale value. Our business solicitors draft transactional documents.
Are you considering either investing in a business or attracting investment capital? If so we can assist, and our business lawyers regularly advise on private equity, venture capital and seed investments. We act for management teams and investors. We undertake due diligence and draft and negotiate the transaction documents. Our business solicitors also provide practical guidance on what to consider to ensure the investment works for all parties.
Drafting and negotiating agency contracts and distribution contracts. Our business lawyers can evaluate your business proposition and determine whether a commercial agency or distribution arrangement would be the most appropriate business structure. We will also advise on any potential risks, including the implications of the Commercial Agency Regulations.
We draft introduction agreements, and advise on the implications of the Commercial Agency Regulations, and in particular whether they apply to your contractual arrangement.
Our business solicitors advise on franchise arrangements. More specifically our business lawyers can determine whether a franchise arrangement, or some form of trade mark licensing arrangement would be most suitable for your business and provide advice accordingly. We can also provide guidance on the various costs associated with a franchise contract including additional costs such as training, marketing and supply arrangements, to ensure that the franchise is a viable proposition and accords with your business plan projections.
